2. Relationship with other documents
- Terms of Sale govern distance purchases and consumer rights.
- Privacy Policy (GDPR) explains personal-data processing.
- Cookie Policy explains cookies/consent.
If these Terms conflict with mandatory consumer law, the law prevails.
3. Languages and acceptance
These Terms are available in Estonian, English and Russian. For consumers in Estonia, the Estonian version prevails if there is any inconsistency. By accessing or using the Website, creating an account or clicking to accept when prompted, you agree to these Terms.
4. Eligibility, accounts and security
You must be 18+ (or have legal capacity). If you use the Website for a business, you confirm authority to bind that business. Provide accurate information and keep credentials secure. Notify us promptly of any suspected misuse.
5. Licence and intellectual property
5.1 Licence. We grant you a limited, non-exclusive, revocable, non-transferable licence to access and use the Website for personal or internal business use, subject to these Terms.
5.2 IP ownership. Texts, graphics, photos, software, databases and trademarks are owned by Vertera OÜ or licensors. Do not copy, adapt, reverse engineer, scrape or create derivative works except as allowed by mandatory law or with our written consent.
5.3 Trademarks. “Vertera” and related marks may not be used without permission. Do not register domains/handles/keywords incorporating our marks.
6. User content (e.g., reviews)
6.1 Your rights. You retain rights to content you submit.
6.2 Licence to us. You grant Vertera OÜ a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display and distribute your content to operate and improve the Website and display it to other users.
6.3 Your warranties. You warrant you own or control necessary rights and that your content is lawful and accurate.
6.4 Content standards. No illegal, defamatory, hateful, discriminatory, harassing, pornographic, misleading or invasive content; no malware; no personal data of others without a legal basis; no advertising/spam.
7. DSA compliance — moderation, notices, appeals
7.1 Notice-and-action (report illegal content). E-mail vertera.estonia@gmail.com with: (a) description and exact URL/location; (b) legal reason (e.g., copyright, defamation, criminal offence); (c) your name and contact; (d) good-faith statement of accuracy. We acknowledge receipt, assess diligently and act where appropriate (e.g., removal, geo-blocking, request for clarification).
7.2 Statement of reasons. If we restrict content or accounts, we provide a statement of reasons (basis, territorial scope, duration, appeal options).
7.3 Internal complaint-handling. You may appeal our moderation decision within 6 months via reply to our notice; we review promptly and inform you of the outcome.
7.4 Point of contact for authorities. Competent authorities may contact vertera.estonia@gmail.com (languages: Estonian, English).
7.5 Out-of-court dispute settlement. Where required by the Digital Services Act, we will engage in good faith with certified bodies; details available on request.
8. Acceptable use (AUP)
Do not (and do not help others to): (a) break the law; (b) infringe IP, privacy or publicity rights; (c) bypass security, test vulnerabilities without permission, interfere with or overload the service, or scrape at scale; (d) upload malware; (e) misrepresent identity/affiliation; (f) collect other users’ data without a legal basis; (g) sell/transfer/sublicense your account.
9. Information on the Website
We aim for accuracy but information may be updated. For purchases, binding information appears during checkout and in the order confirmation under the Terms of Sale.
10. Third-party services and links
The Website may link to or integrate third-party tools (payments, analytics, social plugins). Their terms/policies apply when you use them; we are not responsible for their content or practices.
11. Availability, maintenance and changes
We strive for reasonable uptime but provide the Website “as is” and “as available.” We may change, suspend or discontinue features. For material changes that negatively affect users, we give reasonable notice where practicable.
12. Security and responsible disclosure
Report security vulnerabilities to vertera.estonia@gmail.com. Do not publicly disclose before we confirm a fix. We do not operate a bug bounty.
13. Liability
Nothing limits liability that cannot be limited by law. To the extent permitted, we exclude liability for indirect or consequential loss (including loss of profit, revenue, data, goodwill or business interruption). Your mandatory consumer rights and our obligations under the Terms of Sale remain unaffected.
14. Indemnity (business users)
If you use the Website for business, you indemnify Vertera OÜ for losses/claims arising from your breach of these Terms or law, except to the extent caused by our own fault.
15. Governing law and jurisdiction
These Terms (and non-contractual obligations) are governed by Estonian law. Consumers may bring proceedings in the courts of their country of residence and benefit from that country’s mandatory consumer protection.
16. Changes to these Terms
We may update these Terms; the version in force is identified by the Effective date. Continued use after updates constitutes acceptance. If you disagree, stop using the Website.
